In this program, Brian Conklin and Michaela Spero of Clifford Chance discuss the application of the antitrust laws to employment agreements, with a specific focus on "no-poach" agreements. The course provides an overview of the antitrust laws and the enforcement thereof, as well as the different standards courts apply in evaluating antitrust violations, followed by an in-depth discussion of government actions challenging employment agreements as anticompetitive. In particular, the program will address the Department of Justice Antitrust Division's present-day position on no-poach provisions. The presenters will then discuss measures companies can take to reduce the risk of their employment agreements running afoul of the antitrust laws.
