Termination is a powerful and important contractual and common law tool that parties have in their arsenal on construction projects. However, depending upon the circumstances, termination can potentially have significant, adverse consequences. This seminar will discuss the scope and bases for terminations, under the common law and typical contract provisions, the concepts of termination for cause and termination for convenience, the termination process, the risks imposed on parties who improperly terminate, and ways to minimize those risks. In addition, we will provide a detailed look at the increasingly frequent use of clauses that automatically convert improper terminations for the cause into terminations for convenience.
